PRIMARY DUTIES
Commercial Agreements and Transactional Matters (45%)
Utilize, maintain and provide training regarding the confidentiality agreement and transactional contract request and review processes for the Law Group to all levels within the Company, incorporating direction on compliance requirements as part of the process; ongoing support on this to teams will be required.
Assist draft and review a wide range of AP commercial contracts, including confidentiality agreements, purchase or supply contracts, distributors, agents, consignment stock or contract manufacturing agreements for example.
Become an alternative, pro-active legal point of contact for the business and functions (sourcing, operations, finance, tax etc.) to help provide advice on legal risk appropriately and/or support the other attorneys on drafting and reviewing agreements as necessary. This will include advising on compliance and data privacy issues from a commercial, contractual perspective.
Help to develop and deliver internal training on legal and contractual topics, or other Law Group led initiatives, including helping to develop and roll out new tools or systems in practice.
Compliance (30%)
Serve as a regional compliance champion, working closely with the AP Senior Regional Counsel and Assistant General Counsel (Ethics & Compliance) to support the Company’s compliance needs, including helping to implement, monitor and assist with raising awareness of corporate compliance policies and programs, with the respective business and functions.
Participate in and support the implementation of H.B. Fuller’s new third-party compliance program across the AP region, including use of software for process management and due diligence relating to distributors, agents and other third-party intermediaries.
Support the development and delivery of training to the business and functions on key compliance procedures and topics, including anti-corruption, export controls, third-party compliance, conflicts of interest and understanding of the Code of Business Conduct and Core Policies.
Support the continuing development and implementation of region and company-wide data privacy and cyber-security-related policies and procedures, in partnership with the Company’s HR, IT, Sourcing and Ethics & Compliance teams.
Other Administration & organization General Matters (25%)
Support AP document management systems relating to contracts, law firm invoices, department record keeping; and interface with Global legal team on Legal departmental initiatives. Assist with archiving completed matters including preparing boxes of documents for archives so they are correctly detailed and recorded (hard and soft copy) and submitted to archives.
Support for special projects, due diligence for mergers & acquisitions, assisting with forming and/or dissolving entities and applying for authority to do business in certain countries, maintaining all records and files on an ongoing basis.
Review and monitor new and updated laws and regulations.perform legal, factual and records research. Organize, analyze, cross-check and validate information.
As needed, serve as backup for other transactional, compliance and subsidiary management duties in the Law Department as it may operate globally.
Types of decisions you make:
- First drafts and initial review of agreements, deciding when to seek advice from one of the in-house counsel.
- Steering the business towards the correct processes, initial form agreement and guidance material.
Types of decisions referred to higher authority:
- Final form of agreements.
- Complex and higher-risk ethics, regulatory and compliance questions requiring interpretation of H.B. Fuller Code or policies or decisions.
Types of decisions dictated by policy:
- Routine ethics, regulatory and compliance matters.
- Corporate signature authority.
- All other matters dealing with company policies.
Minimum Requirements
- Recognized national legal qualification
- Minimum two (2) years of post-qualification experience demonstrating some or all of the above
- Exceptional organizational and analytical skills
- Strong communication skills, both oral and written
- Fluent in English (spoken and written), second language preferred
- Ability to be flexible
- Able to identify material issues and pay attention to details
- Self-starter, ability to manage workflow and shifting priorities
- Ability to comprehend new and/or changing laws and regulations and work to develop procedures to comply with requirements
- Ability to manage numerous matters simultaneously under deadline pressure
- Willingness to adapt and be open to change in order to achieve desired results
- Demonstrate accountability for assigned area of expertise
- Capable of making decisions in defined area of responsibility
- Demonstrated bias for action and strong judgment
